Terms of Service.

Effective date

These Terms of Service govern your use of the Coredon platform. Please read them carefully before creating an account or using any of our services. By using Coredon, you agree to be bound by these Terms.

Acceptance of terms

By creating an account or using the Coredon platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Coredon Technologies Inc. ("Coredon", "we", "us", or "our"), a company incorporated in Canada.

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

Eligibility

To use Coredon, you must:

— Be at least 18 years of age. — Be a Canadian resident or have a valid Canadian business registration. — Have the legal authority to enter into binding agreements. — Not be prohibited from using the Platform under applicable law.

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.

Description of the service

Coredon is an escrow platform designed for freelance video editors and their clients. The Platform allows freelancers ("Editors") and clients ("Clients") to:

— Create and manage projects with defined scope and payment terms. — Lock client funds in escrow prior to the start of work. — Deliver files securely through Coredon's protected proxy infrastructure. — Release funds upon approval of delivered work. — Resolve payment disputes through Coredon's dispute resolution process. — Generate and store legally binding project contracts.

Coredon acts as a neutral third party in all transactions. We are not a party to the underlying agreement between Editors and Clients, and we are not responsible for the quality, legality, or fitness of the work delivered.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

— Provide accurate and complete information when creating your account. — Keep your account information up to date. — Notify us immediately at info@coredon.app if you suspect unauthorized access to your account. — Not share your account credentials with any other person.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are being used fraudulently.

Payments and fees

All payments on the Platform are processed by Stripe, Inc. By using the payment features of the Platform, you agree to Stripe's terms of service.

Coredon charges a transaction fee on each project. The applicable fee depends on your plan:

— Starter: 5% per transaction — Pro: 2.5% per transaction — Studio: Custom rate

Transaction fees are deducted automatically at the time of fund release. Coredon reserves the right to change its fee structure with 30 days' notice to existing users.

Funds held in escrow are not interest-bearing. Coredon does not earn interest on escrowed funds on behalf of users.

Escrow and fund release

When a Client funds a project, those funds are held in escrow by Coredon. Funds are released to the Editor upon:

— The Client's explicit approval of the delivered work, or — The expiry of the review window (14 days by default) without a dispute being raised by the Client.

Funds will not be released if a dispute is raised during the review window. In that case, the funds remain in escrow until the dispute is resolved in accordance with Section 07.

Coredon is not responsible for delays in fund release caused by payment processor issues, banking delays, or circumstances beyond our control. Standard release timing is 3–5 business days after release is triggered.

Dispute resolution

If a Client raises a dispute during the review window, Coredon will review evidence submitted by both parties and issue a binding resolution. Both parties agree to cooperate with Coredon's dispute process and to accept Coredon's resolution as final.

Dispute resolution timelines:

— Starter plan: 48 hours — Pro plan: 24 hours — Studio plan: 12 hours

Coredon's dispute resolution is limited to determining whether the Editor delivered work that materially matches the agreed scope and specifications. We are not an arbitration body and our resolutions do not constitute legal judgments.

Either party may pursue legal remedies independently, but Coredon's dispute resolution process must be completed before funds are released or returned.

Prohibited conduct

You agree not to use the Platform to:

— Engage in fraudulent transactions or misrepresent the scope, quality, or nature of your work. — Circumvent the escrow process by requesting payment outside the Platform. — Upload or deliver content that infringes third-party intellectual property rights. — Upload or deliver content that is illegal, harmful, or obscene. — Attempt to reverse-engineer, scrape, or interfere with the Platform's infrastructure. — Create multiple accounts to circumvent account restrictions or bans. — Use the Platform for any purpose other than the facilitation of legitimate freelance video editing projects.

Violations of this section may result in immediate account termination and, where applicable, referral to law enforcement.

Intellectual property

All intellectual property rights in the work delivered through the Platform remain the property of the Editor until full payment has been released from escrow. Upon release of funds, ownership of the delivered work transfers to the Client in accordance with the terms of the project contract.

Coredon does not claim any ownership rights in the content delivered through the Platform. By using the Platform, you grant Coredon a limited license to store, process, and transmit your files solely for the purpose of operating the Platform.

Limitation of liability

To the maximum extent permitted by applicable law, Coredon's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to Coredon in the 12 months preceding the claim.

Coredon is not liable for:

— Indirect, incidental, special, consequential, or punitive damages. — Loss of profits, revenue, data, or business opportunities. — Disputes between Editors and Clients that fall outside the scope of our dispute resolution process. — Delays or failures caused by third-party services, including Stripe.

Nothing in these Terms limits liability that cannot be excluded under applicable Canadian law.

Termination

You may close your account at any time by contacting us at info@coredon.app. You may not close your account while you have active projects or pending funds in escrow.

We reserve the right to suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms or that your use of the Platform poses a risk to other users or to Coredon.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform that is not resolved through Coredon's dispute resolution process shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec.
